Appointment and term
Board members are appointed by the board itself in accordance with the deed of incorporation. Terms run for N years and are renewable once, subject to a recorded decision. Vacancies are filled within N months of arising.
Meetings and decisions
The board meets at least N times per year and additionally whenever a grant decision requires it. Minutes are kept for every meeting, decisions are recorded with the vote, and any member with an interest in a matter withdraws from the decision.
Remuneration
No board member receives remuneration for their role. Documented expenses incurred on foundation business are reimbursed against receipts and reported in the annual accounts.
Oversight
The annual accounts are prepared and reviewed by our independent accountant, Firm name, and published in full alongside the annual report.
